SystemShift provides AI and automation consulting services, including but not limited to:

• GoHighLevel (GHL) implementation and configuration
• Business process automation design and deployment
• Lead generation system setup and management
• CRM customization and workflow optimization
• Standard Operating Procedure (SOP) creation and documentation
• Interactive web tools, lead magnets, assessments, and calculators
• Dashboard customization and widget development

The specific scope, deliverables, and timeline of any consulting engagement will be defined in a separate service agreement or statement of work between the parties.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. Our services are intended for business use by service-based businesses and their authorized representatives.

4. User Accounts & Responsibilities

If you create an account or are granted access to any SystemShift-managed system (including GoHighLevel sub-accounts), you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Consent to Data Collection

By submitting your personal information through our website forms, lead capture tools, assessment widgets, booking systems, or any other data collection mechanism, you expressly consent to the collection, storage, and processing of your personal data as described in our Privacy Policy. This includes but is not limited to:

• Your name, email address, phone number, and business information submitted through contact forms and consultation booking pages.
• Responses provided through assessment tools, calculators, and interactive widgets.
• Information shared during consultations, calls, or other communications.
• Behavioral data collected through cookies and tracking technologies on our website.

You have the right to withdraw your consent at any time by contacting us. Withdrawal of consent does not affect the lawfulness of processing carried out prior to withdrawal.

6. Intellectual Property

All content, materials, software, trademarks, logos, designs, text, graphics, and other intellectual property on our website and within our services are owned by or licensed to SystemShift and are protected by applicable intellectual property laws.

• Website content: You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from our website without our prior written consent.
• Client deliverables: Ownership of custom-built systems, automations, and deliverables will be specified in the applicable service agreement. Unless otherwise agreed, SystemShift retains ownership of its proprietary frameworks, templates, methodologies, and tools.
• Lead magnets & resources: Downloadable resources, guides, and playbooks are provided for your personal or internal business use only. Redistribution, resale, or public sharing is prohibited without written permission.

7. Acceptable Use

You agree not to use our website or services to:

• Violate any applicable law, regulation, or third-party rights.
• Submit false, misleading, or fraudulent information.
• Interfere with or disrupt our website, servers, or networks.
• Attempt to gain unauthorized access to any portion of our systems.
• Scrape, crawl, or use automated means to access our website without permission.
• Use our services to send unsolicited commercial messages (spam).
• Reverse engineer, decompile, or disassemble any software or tools we provide.
• Impersonate any person or entity or misrepresent your affiliation.

8. Consulting Services

8.1 Service Agreements

All consulting engagements are governed by separate service agreements or statements of work that outline the specific scope, deliverables, timelines, and fees. In the event of a conflict between these Terms and a service agreement, the service agreement will prevail for matters related to that specific engagement.

8.2 Client Cooperation

Successful delivery of our services requires your reasonable cooperation, including timely provision of access, information, and approvals. Delays caused by your failure to cooperate may impact project timelines and deliverables.

8.3 Results Disclaimer

While we strive to deliver high-quality automation and consulting services, we do not guarantee specific business outcomes, revenue increases, lead generation volumes, or conversion rates. Results vary based on numerous factors outside our control, including your industry, market conditions, business practices, and level of implementation.

9. Payment Terms

Fees for our services are outlined in the applicable service agreement. Unless otherwise specified, payments are due upon receipt of invoice and are non-refundable except as expressly stated in the service agreement. Late payments may be subject to interest charges and suspension of services. All prices are in US dollars unless otherwise stated.

10. Third-Party Services

Our services may involve integration with or use of third-party platforms, including but not limited to GoHighLevel, Stripe, Google services, and other software-as-a-service providers. Your use of these third-party services is subject to their respective terms and privacy policies. SystemShift is not responsible for the availability, functionality, or data practices of third-party services.

11. Disclaimers

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that our services will be uninterrupted, error-free, or secure.

Any content, materials, or information provided through our website, including lead magnets, assessments, and tools, is for informational purposes only and does not constitute professional, legal, financial, or tax advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYSTEMSHIFT, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (including but not limited to loss of profits, data, business, or goodwill), regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising out of or related to these Terms or your use of our services shall not exceed the total amount you have paid to SystemShift in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless SystemShift and its owners, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any law or third-party rights.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us to attempt to resolve any dispute informally. We will make good-faith efforts to resolve the matter within thirty (30) days.

14.3 Binding Arbitration

If a dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration in the State of North Carolina, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration.

15. Termination

We reserve the right to suspend or terminate your access to our website and services at any time, with or without cause and with or without notice, if we believe you have violated these Terms. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.

• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, acts of government, internet outages, or other force majeure events.
